ARTICLE VII -- DUTIES OF OFFICERS AND COMMITTEES
Section A. Standing Rules 1. The duties and responsibilities of CAL-MOAA officers and committees are attached to these Bylaws in the form of Standing Rules.
2. The Standing Rules may be revised by a two-thirds vote of either the Council or the Executive Committee, provided such revisions are not in conflict with these Bylaws.
Section B. Officers 1. The President shall act as the Chief Executive Officer and the Chief Operating Officer and shall be responsible for the administration of CAL-MOAA. The President and Vice-President shall serve as presiding officer and alternate presiding officer, respectively, of the Council and the Executive Committee. The President shall act for the Executive Committee when that body is not in session to the extent normally permitted by Executive Committees, these Bylaws, and the Standing Rules. The President shall report his significant actions to the Executive Committee at each of its regular meetings for confirmation and, if appropriate, modification. The President shall serve as a Member, ex-officio, of all committees except the Nominating Committee.
2. The Vice President shall act as Parliamentarian and perform other such executive duties as the President may assign. The Vice President shall act for the President in the President’s absence.
3. The State Directors, in addition to their duties as Members of the Executive Committee, shall serve as the presiding officers at Area meetings. They shall perform such general administrative and coordinating functions as may be assigned by the President.
Section C. Other Officers and Staff The Council Secretary, Treasurer, Parliamentarian, and other elected or appointed officers and staff shall perform the duties normally assigned such officers.
ARTICLE VIII -- BUDGET AND REVENUE
Section A. Budget 1. A budget shall be drafted by the Budget and Finance Committee for each Calendar year for consideration and approval by the Executive Committee not later than the month of October. The budget shall provide for the anticipated operating costs of all CAL-MOAA units and Committees, for the ensuing year.
2. The budget shall also include the anticipated revenue from all sources, the dues to be levied on Affiliated Chapters for the ensuing year and any assessments above the basic dues.
Section B. Dues and Assessments 1. Each Affiliated Chapter shall be liable for its pro-rata share of financial support. The Chapter dues to be paid each year shall be based on the number of Regular Members belonging to a Chapter on the last day of the previous year. Chapter dues, and any approved special assessments, shall be due and payable to the CAL-MOAA Treasurer by the first day of April each year.
Section C. Additional Revenue A corollary function of the Budget and Finance Committee shall be to investigate and recommend ways and means to raise revenue whenever such action is deemed appropriate.
ARTICLE IX -- AMENDMENTS These Bylaws may be amended, repealed, or altered, in whole or in part, by the following actions:
Section A. Changes 1. Mail vote, to include e-mail, provided the proposed changes, clearly stated, are furnished to the Affiliated Chapter Presidents for their consideration and mail balloting. The Affiliated Chapter Presidents shall be allowed sixty days from the postmarked mailing date or e-mail transaction date to obtain the position of their respective Chapters and return the mail ballot with a “for” or “against” answer for each of the separate changes proposed. The mail ballot shall contain a list of all of the Affiliated Chapters and the number of votes assigned to each Affiliated Chapter.
2. Roll call or secret ballot voting at meetings of the Council and conducted in accordance with ARTICLE VI of these Bylaws.
Section B. Quorum The quorum for a roll call vote or secret ballot shall be that of accredited representatives of fifty percent (50%) of the Affiliated Chapters present.
Section C. Votes Required Each amendment shall require approval by two-thirds of the total number of votes cast.
