DUTIES OF CAL-MOAA OFFICERS AND COMMITTEES


A. Elected Officers


1. The President of CAL-MOAA shall:


a. Preside at all meetings of the CAL-MOAA Executive Committee.

b. Call meetings as required by the CAL-MOAA Bylaws and special meetings whenever necessary.

c. Appoint committees required and shall be an ex-officio Member with the right to vote on all committees, except the Nominating Committee.

d. Appoint a Secretary, Treasurer, and Chairs for the Legislative, Budget and Finance, and Credentials Committees, whose terms of office shall coincide with that of the CAL-MOAA President. Each appointed officer and committee chairman shall serve on the CAL-MOAA Executive Committee ex-officio without vote.

e. Perform such other duties as are necessary incidental to the office of President.

f. In coordination with the CAL-MOAA Secretary, inform the Affiliated Chapter Presidents by letter, newsletter, or e-mail of the significant events considered or acted upon by the Executive Committee per Section IV.E. of ARTICLE IV of the CAL-MOAA Bylaws.

g. Nominate prospective Board Members to fill vacancies on the Board of Directors of the Military Retirees Benefit Foundation, in counsel with the State Directors and Members of the Executive Committee.

h. Represent the Council of Chapters on the California State Commanders Veterans Council.

2. The Vice President of CAL-MOAA shall:


a. Act for the President in his absence.

b. Perform such duties as the CAL-MOAA President may assign.

c. Perform such other duties as are necessary incident to the office of the Vice President.

3. The State Directors shall:


a. Serve as voting Members and attend meetings of the CAL-MOAA Executive Committee.

b. Represent the interests of the Affiliated Chapters within their Areas.

c. Disseminate information to Area Affiliated Chapters regarding activities of the CAL-MOAA Executive Committee.

d. Coordinate legislative matters among the Area Affiliated Chapters.

e. Perform such appropriate CAL-MOAA duties as the President may assign.

B. Appointed Officers


1. The Secretary of CAL-MOAA shall:


a. Keep a record of the proceedings of all meetings, Regular and Special, of the Executive Committee and the Council of Chapters.

b. Provide timely written notification of all Regular and Special Meetings of the Executive Committee and the Council of Chapters, after consultation with the President.

c. Maintain the historical file.

d. Be responsible for the maintenance of Membership records.

e. In coordination with the CAL-MOAA President, inform the Affiliated Chapter Presidents by letter or newsletter of significant items considered or acted upon by the Executive Committee per Section IV.E. of the CAL-MOAA Bylaws.

f. Be a Member of the Executive Committee, ex-officio and without vote.

g. Perform such other duties as the President may assign.

2. The Treasurer of CAL-MOAA shall:


a. Maintain a record of all sums received, fees and dues.

b. Make all disbursements in payments of bills as authorized by the Executive Committee. The approved budget is authorization for the expenditure of funds for the purposes and amounts provided for therein.

c. Deposit all moneys received in a federally insured institution.

d. Withdraw funds there from only upon his signature, or in the event of his absence or disability, provide for the signature of the CAL-MOAA President to be recorded with the bank so that he may withdraw money.

e. Render an account of receipts and expenditures at the Executive Committee meetings and/or when directed to do so by the CAL-MOAA President.

f. Be a Member of the Executive Committee, ex-officio and without a vote.

3. The Parliamentarian shall.


a. Use Robert’s Rules of Order Newly Revised as the basis for interpretation and advice on parliamentary law and procedure.

b. Advise the presiding officer, other officers, committee chairmen and, when asked, individual participants, relative to the preparation for, the operation of, and the reporting upon meetings and organizational business.

4. Other Appointed Officers:


The President, at his option, may appoint additional CAL-MOAA officers, such as a Sergeant-at-Arms or a liaison officer to another organization, subject to the approval of the Executive Committee.

C. Standing Committees:


1. Standing Committees shall be appointed by the President, subject to approval of the Executive Committee. These committees will include the Legislative Affairs Committee, the Budget and Finance Committee, the Communications Committee, and the CAL-MOAA Credentials Committee. Standing Committees shall perform the duties specified in the following paragraphs and such other tasks as assigned by the President. They shall be represented on the Executive Committee by their respective Chairmen and shall be non-voting Members thereof unless otherwise qualified as an Executive Committee voting Member. They shall report to the. CAL-MOAA Council of Chapters Presidents at such times as sessions of the Council may be held.

2. The CAL-MOAA Legislative Affairs Committee shall:


a. Develop a series of programs to promote the policies approved by the Executive Committee regarding California legislative, administrative, and judicial actions.

b. Pursue such programs when approved by the Executive Committee.

c. Assist MOAA in promoting national legislative, administrative, and judicial policies on the state level when feasible and within the allocated resources.

d. Publish a legislative digest or similar periodical containing succinctly digested and instructive information relative primarily to the status of California legislative activities of direct interest to MOAA members.

e. Include in that publication, beneficial actions that may be taken by Affiliated Chapters or by individual MOAA members.

f. Establish a CAL-MOAA Legislative Network consisting of an individual designated by each Affiliated Chapter President, plus a selected number of individual Members who are personally acquainted with Members of the Legislature or their staffs.

g. Use the Legislative Network to enable swift, timely and effective reaction to current developments in pending legislation.

h. Test its programs and activities to ascertain they are based on national needs rather than solely on the vested rights of the retired officer community.

i. Test its programs to assure that no actions are taken which might endanger the nonprofit, tax exempt status of CAL-MOAA or its affiliate Affiliated Chapters.

j. Submit a proposed legislative budget to the Budget and Finance Committee.

k. Advise the CAL-MOAA President and Members of the CAL-MOAA Executive Committee on pertinent legislative matters and issues.

3. The CAL-MOAA Budget and Finance Committee shall:


a. Include the Treasurer of CAL-MOAA as an ex-officio voting member.

b. Within policies determined by the Executive Committee, and with full coordination with the chairmen of all CAL-MOAA Standing Committees, prepare annual budgets for all CAL-MOAA activities to be approved by the Executive Committee at its autumn meeting.

c. Compute the recommended assessment required of each Affiliated Chapter to support the budget activities approved by the Executive Committee, based on the number of regular members in each such Chapter on the last day of the year previous to the budget year. Monitor actual receipts and disbursements periodically in relation to the budget and propose ways and means to the Executive Committee to obtain more funds for CAL-MOAA activities without increasing the CAL-MOAA assessments.

d. Be aware that Affiliated Chapters are affiliates rather than subordinate units of CAL-MOAA and as such, their internal fiscal activities do not lie within the province of the CAL-MOAA Budget and Finance Committee.

4. The CAL-MOAA Credential Committee shall:


a. Certify annually the Membership status of the Member Affiliated Chapters and each CAL-MOAA officer, and prepare annually a list of the Affiliated Chapters authorized to participate and vote in meetings of the Council.

b. Indicate on that list the number of members for each Affiliated Chapter as of 31 December the previous year for which the assessment has been paid.

c. Reproduce a list of Affiliated Chapters with their Presidents or Designated Delegates and the total number of votes authorized, plus several columns in which to record votes for distribution at meetings of the Council.

d. Certify the type and status of Membership for nominees for CAL-MOAA elective or appointive offices.

e. Have ballots on several different colors of paper available for use at meetings of the Council at which elections, revocations or other issues requiring secret ballots may occur.

D. The CAL-MOAA Special Committees


1. All CAL-MOAA Special Committees shall:


a. Perform such specific duties as are assigned by the CAL-MOAA President.

b. Provide a non-voting representative to meet with the Executive Committee upon official request.

c. Be discharged by the CAL-MOAA President upon completion of their duties.

E. Independent Committees


1. The Nominating Committee shall:


a. Upon appointment, solicit qualified candidates for the elective offices of President and Vice- President from throughout the Council, and submit a slate of nominees to the Council at the Annual Meeting in odd-numbered years.

b. Assist the President in identifying qualified prospective candidates from throughout the Council for appointed offices.

c. Perform its duties in accordance with Article V, Section B, as well as other applicable provisions of the CAL-MOAA Bylaws.

2. The Executive Committee shall:


a. Act as the Board of Directors

b. Operate CAL-MOAA when the Military Officers Association of America, California Council of Chapters is not in session.

c. Assume all powers normally granted to an executive committee.

d. Exercise the power of approval or disapproval over appointments made by the President.

e. Report orally at Council meetings and by newsletter, correspondence, or e-mail during the interim periods.

f. Determine Council and Executive Committee meeting times, locations and agendas.

g. Provide executive direction and coordination of all CAL-MOAA activities.

If required by any of the foregoing changes, the Executive Committee will make appropriate changes to the previously published STANDING RULES to bring them into conformity.
